BxCard Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and The Shows By Wildeye Pvt. Ltd. ("BxCard," "we," "us," or "our") governing your access to and use of the BxCard mobile application and related backend services (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1.Your account

• You must provide accurate information when creating an account, and keep your password confidential and secure.
• You are responsible for all activity that occurs under your account, whether or not you authorized it, except to the extent caused by our own negligence.
• If you're a workspace administrator, you are responsible for the team members you add to your organization and the permissions you grant them.
• If you're creating an account on behalf of a company, you represent that you have the authority to bind that company to these Terms.

2.Your data, and data you upload about others

You (or your organization) retain ownership of the leads, contacts, and documents uploaded to BxCard ("Customer Data"). You are solely responsible for having a lawful basis to collect and store the personal information of the individuals whose business cards you scan; BxCard acts as a data processor of that information on your organization's behalf, not as the party that decided to collect it. You agree not to use the Service to store or process information you do not have the right to collect, and you grant us a limited license to host, process, and display Customer Data solely to provide the Service to you.

3.Intellectual property

The Service, including its software, design, and branding, is owned by BxCard and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes; they do not grant you any ownership interest in the Service itself. If you send us feedback or suggestions, you agree we may use them without any obligation to you.

4.Free trial and subscriptions

• Individual and Group plans include a 14-day free trial with no card required. Business and Enterprise plans do not include a free trial and require an active subscription from account creation.
• To prevent misuse, a free trial is available once per device; reinstalling the app or creating a new account on a device that has already used a trial does not grant another one.
• After a trial ends, continued access to scanning, document uploads, and lead export requires an active paid subscription.
• Subscriptions are billed monthly through Razorpay, our payment processor. Prices are shown in the app at the time of purchase and are subject to change on notice.
• You may cancel at any time from Plan & Billing in the app; there are no long-term contracts. Except where required by law, fees already paid are non-refundable.
• If a renewal payment fails, we provide a short grace period to update your payment method before paid features are paused.

5.Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or to store information you do not have the right to hold.
• Attempt to access another organization's data, or circumvent any access control.
• Reverse engineer, decompile, scrape, or overload the Service in a way that disrupts it for other users.
• Resell, sublicense, or white-label the Service without our prior written agreement.
• Attempt to circumvent free trial limits, including by using multiple devices, accounts, or false information to obtain trials you are not entitled to.

6.Service availability and changes

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any part of the Service, or suspend an individual account for a violation of these Terms, with notice where reasonably practicable.

7.Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Business card scanning uses automated OCR and AI, and extracted results may occasionally be inaccurate or incomplete; you should review extracted details before relying on them for business decisions.

8.Limitation of liability

To the maximum extent permitted by law, BxCard and its officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.

9.Indemnification

You agree to indemnify and hold BxCard harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

10.Term and termination

These Terms remain in effect for as long as you use the Service. You may delete your account at any time from Profile in the app. We may suspend or terminate an account that violates these Terms, with notice where reasonably practicable. On deletion, your organization's data is removed in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Sections 3, 8, 9, and 11) will survive.

11.Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in India, unless otherwise required by applicable law.

12.General provisions

• Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and BxCard regarding the Service.
• Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
• No waiver: our failure to enforce any provision is not a waiver of our right to do so later.

13.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where required by law, notify you directly before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
